By accessing or using Payomatix services, APIs, or platform (collectively, the "Services"), you agree to be bound by these Terms and Conditions.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

We reserve the right to modify these terms at any time. Continued use after modifications constitutes acceptance of the updated terms.

You must be at least 18 years old and have the legal capacity to enter into binding agreements.

Your business must be registered and operating legally in a jurisdiction where our Services are available.

You must provide accurate, complete, and current information during registration and maintain the accuracy of such information.

We reserve the right to refuse service to any business or individual at our sole discretion.

Payomatix provides payment processing, orchestration, and related financial technology services through APIs, SDKs, and web-based dashboards.

We act as a technology intermediary facilitating payment transactions between merchants and payment processors. We are not a bank or financial institution.

Service availability, features, and supported payment methods may vary by region and are subject to change with reasonable notice.

You agree to comply with all applicable laws, regulations, and card network rules in connection with your use of the Services.

You are responsible for the products and services you sell, including fulfillment, customer service, and refund handling.

You must not use the Services for prohibited businesses including illegal activities, adult content, gambling (without proper licensing), weapons, or any activity violating applicable laws.

You must maintain adequate security measures to protect customer data and immediately report any suspected security breaches.

Transaction fees, settlement schedules, and any applicable charges are as specified in your merchant agreement or current pricing schedule.

We reserve the right to modify fees with 30 days' prior written notice. Continued use after the notice period constitutes acceptance of the revised fees.

We may hold, delay, or withhold settlements in cases of suspected fraud, excessive chargebacks, or regulatory concerns.

All fees are exclusive of applicable taxes, which are your responsibility.

You are responsible for all chargebacks and disputes arising from transactions processed through our Services.

You must respond to chargeback notifications within the timeframes specified by the relevant card networks.

Excessive chargeback rates may result in additional fees, reserve requirements, or termination of Services.

We may debit chargeback amounts and associated fees from your settlement account or any other account held with us.

All intellectual property rights in the Services, including software, APIs, documentation, and branding, remain the exclusive property of Payomatix.

We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these terms and your merchant agreement.

You may not reverse engineer, decompile, or create derivative works based on our Services without prior written consent.

To the maximum extent permitted by law, Payomatix shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Our total liability for any claim arising from the Services shall not exceed the fees paid by you in the 12 months preceding the claim.

We are not liable for losses caused by force majeure events, third-party service failures, or your failure to comply with these terms.

Either party may terminate the agreement with 30 days' written notice.

We may suspend or terminate your access immediately if you violate these terms, engage in fraudulent activity, or pose a risk to the platform.

Upon termination, outstanding fees, chargebacks, and reserves remain your obligation. We will settle any remaining funds within 90 days, subject to holds.

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
