1. Introduction

Welcome to Payomatix Private Limited (“Payomatix,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, payment gateway services, APIs, and related services (collectively, the “Services”). By accessing or using our Services, you agree to comply with these Terms.

If you do not agree with these Terms, you should discontinue use of our services immediately.


2. Scope of Agreement

These Terms apply to:

  • Merchants who use Payomatix’s services to accept payments.
  • End-users/customers who make transactions using Payomatix.
  • Partners and affiliates engaged with Payomatix for business collaborations.

By using Payomatix’s Services, you confirm that you are:

  • At least 18 years of age (or the legal age of consent in your jurisdiction).
  • Legally capable of entering into this agreement.
  • Providing accurate information during registration and account setup.

3. Account Registration & Management
3.1 Creating an Account
  • To use Payomatix’s Services, you must create an account and complete our KYC (Know Your Customer) process.
  • During registration, you must provide accurate and complete information.
3.2 Account Security
  • You are responsible for maintaining the confidentiality of your login credentials.
  • Notify us immediately if you suspect unauthorized access to your account.
3.3 Account Suspension/Termination

Payomatix reserves the right to suspend or terminate accounts under the following conditions:

  • Violation of these Terms.
  • Submission of false or misleading information.
  • Engagement in fraudulent, illegal, or suspicious activities.

4. Use of Services

By using Payomatix, you agree to:

  • Use our Services for lawful purposes only.
  • Comply with RBI, NPCI, and other financial regulations.
  • Refrain from attempting to reverse-engineer, hack, or manipulate our platform.
Prohibited Activities

The following activities are strictly prohibited:

  • Fraudulent or illegal transactions.
  • Use of Payomatix to facilitate money laundering or terrorist financing.
  • Processing payments for prohibited industries (e.g., illegal gambling, drugs, or counterfeit goods).
  • Attempting to disrupt or compromise Payomatix’s security systems.

5. Payment Processing & Fees
5.1 Payment Methods Supported

Payomatix supports transactions via:

  • UPI
  • Credit/Debit Cards
  • Net Banking
  • Wallets
  • EMI Services
5.2 Transaction Fees
  • Payomatix may charge transaction fees based on your usage, transaction volume, or selected payment methods.
  • Detailed fee structures are provided during merchant onboarding.
5.3 Settlement Policy
  • Payomatix processes settlements in accordance with RBI and NPCI guidelines.
  • Standard settlement cycles may vary between T+1 and T+2 business days.

6. Refunds, Chargebacks, and Disputes
6.1 Refund Policy
  • Refunds are processed based on the merchant’s refund policy.
  • Payomatix will facilitate the transaction but does not take responsibility for the merchant’s refund decision.
6.2 Chargebacks
  • Payomatix is not liable for unauthorized transactions or chargebacks resulting from customer disputes.
  • Merchants are responsible for providing valid proof of transaction fulfillment in case of chargeback disputes.
6.3 Dispute Resolution
  • Disputes between merchants and customers must be resolved directly between the parties.
  • Payomatix may assist in dispute resolution where applicable but is not obligated to intervene.

7. Privacy & Data Protection
  • Payomatix is committed to protecting your personal information.
  • Our data collection, storage, and usage practices are governed by our Privacy Policy.
  • We adhere to data protection regulations, including GDPR, RBI Data Localization Guidelines, and PCI-DSS compliance.

8. Intellectual Property Rights
  • All content, logos, trademarks, software, and intellectual property on the Payomatix platform are the exclusive property of Payomatix Private Limited.
  • Users are prohibited from copying, reproducing, or distributing Payomatix’s intellectual property without prior written consent.

9. Limitation of Liability
  • Payomatix is not liable for direct, indirect, incidental, or consequential damages resulting from the use of our Services.

  • We are not responsible for transaction delays, payment failures, or service interruptions caused by:

    • Network outages
    • Banking partner issues
    • Third-party service providers
  • Payomatix’s total liability, under any circumstances, shall not exceed the total fees paid by the merchant in the previous 3 months.


10. Indemnification

By using Payomatix, you agree to defend, indemnify, and hold harmless Payomatix, its affiliates, directors, and employees from any claims, damages, or losses arising from:

  • Violation of these Terms.
  • Fraudulent or illegal use of our Services.
  • Breach of third-party rights or contractual obligations.

11. Termination of Services

Payomatix reserves the right to:

  • Suspend or terminate services for accounts involved in fraudulent, illegal, or suspicious activities.
  • Terminate user accounts that remain inactive for 6 months or longer.
  • Close merchant accounts upon written notice if they violate these Terms.

12. Changes to Terms & Conditions
  • Payomatix may update these Terms to reflect legal or business changes.
  • Users will be notified of significant updates via email or website announcements.
  • Continued use of Payomatix services after changes implies acceptance of the revised Terms.

13. Governing Law & Jurisdiction
  • These Terms are governed by the laws of India.
  • Any disputes shall be subject to the exclusive jurisdiction of the courts in Delhi NCR, India.
